Position Overview:

We are seeking a talented and experienced Corporate/Transactional General Counsel to provide comprehensive legal support to our client on a contract basis. The successful candidate will be responsible for advising on a wide range of corporate and transactional matters, including but not limited to mergers and acquisitions, corporate governance, compliance, contracts, and commercial transactions.

Responsibilities:

• Provide legal counsel and guidance on corporate governance matters, including board matters, corporate policies, and regulatory compliance.

• Draft, review, and negotiate a variety of contracts and agreements, including commercial contracts, vendor agreements, and partnership agreements.

• Assist in due diligence efforts for mergers, acquisitions, and other corporate transactions.

• Collaborate with internal stakeholders to identify legal risks and develop strategies for mitigation.

• Stay abreast of relevant laws, regulations, and industry developments affecting the company's operations.

• Manage relationships with external legal counsel and other third-party advisors as needed.

  Requirements

• Juris Doctor (J.D.) degree from an accredited law school.

• Admission to the bar in California.

• Minimum of 3 years of experience practicing corporate law, with a focus on transactional matters.

• Strong understanding of corporate governance principles and best practices.

• Excellent drafting, negotiation, and communication skills.

• Ability to work independently and collaboratively in a fast-paced environment.

• Demonstrated ability to prioritize tasks and manage multiple projects simultaneously.

• Willingness to work in person up to 4 days per week.
